Terms & Conditions of Service

1. Nature of the Service
ANDIV ("the Provider") delivers professional digital and web solutions utilizing a subscription-based framework known as Website-as-a-Service (WaaS), alongside fixed-price, one-off project packages. The primary and official operational channel for all project-related communication, development feedback, and daily support requests is WhatsApp Business.

2. Ownership & Intellectual Property
The Provider retains 100% of all intellectual property rights, design assets, configuration files, and source code until the Client has fully settled all financial liabilities for the entirety of the designated initial implementation period. This implementation period is defined as three (3) consecutive months for the START and PREMIUM tiers, and four (4) consecutive months for the SCALE tier.
Upon the successful completion and verification of payments for the full implementation period, complete administrative credentials, hosting control, and full ownership rights of the digital asset will be formally transferred to the Client. The Provider guarantees that all assets deployed (including typography, graphics, and custom components) are open-source or royalty-free, exempting the Client from additional third-party licensing obligations.

3. Payment Terms & Grace Period
Subscription fees are billed strictly in advance on a recurring monthly cycle via secure, integrated third-party payment processors (e.g., Stripe). In the event of a failed transaction or non-payment, a mandatory fourteen (14) day Grace Period will be automatically initiated.
Failure to settle outstanding balances before the expiration of the 14-day Grace Period will result in the immediate and automated suspension of the website (rendering the front-end interface to an "Under Maintenance" status) and the immediate halting of all ancillary graphic design, search optimization, and technical maintenance services. The Provider assumes no liability for operational disruptions or loss of business revenue resulting from such suspensions.

4. Revision Procedures & Strict Timeframes
To ensure steady project momentum and operational efficiency, the Client is allocated a strict forty-eight (48) hour window to submit consolidated feedback and amendment requests following the delivery of any project milestone or revision batch.
If the Client fails to communicate adjustments or submits feedback after this 48-hour window has expired, the current milestone will be deemed formally accepted. Any subsequent requests for modifications to that stage will necessitate the deployment of an "Additional Revision Sprint," billable at a fixed rate of $200 AUD per sprint. We deeply respect our clients' operational timelines and enforce this policy to guarantee mutual professional accountability.

5. Service Level Agreement (SLA) & Support
Standard website adjustments, copy modifications, and routine maintenance requests included within the active subscription tier are systematically processed within forty-eight (48) business hours.
Critical system errors—defined strictly as a total website failure, hosting outage, or catastrophic layout break causing a complete "website offline" state—are treated with immediate operational priority. The Provider guarantees a maximum response and mitigation time of twelve (12) business hours for critical failures, calculated under Australian Eastern Standard Time (AEST).

6. Content Validity & Limitation of Liability
The Client retains 100% absolute legal, regulatory, and ethical liability for the accuracy, compliance, and truthfulness of all content, data, copy, and imagery published on the website. This applies without limitation to all specialized medical, healthcare, compliance, and legal representations.
The Provider’s responsibilities are exclusively technical, encompassing digital architecture, user interface design, Search Engine Optimization (SEO), and Answer Engine Optimization (AEO). Under no circumstances shall ANDIV be held liable for third-party legal claims, regulatory audits, statutory penalties, or damages arising out of the Client’s core business operations or published marketing assets.
